Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the GoldArkIQ platform and related services (the “Service”), operated by TriMid Global (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent (“Customer”, “you”).
1. The Service
GoldArkIQ is a governance, risk and compliance (GRC) platform provided on a subscription basis. We may update, improve, or modify features over time. We will not materially reduce the core functionality of a paid subscription during its term without notice.
2. Accounts & eligibility
You must provide accurate registration information and are responsible for safeguarding your credentials and for all activity under your account. You must be authorized to bind your organization to these Terms. Notify us promptly of any unauthorized use.
3. Subscriptions, fees & trials
- Paid plans are billed in advance on a recurring basis (monthly or annual) via our payment processor, Stripe.
- Per-seat charges apply to the number of seats on your subscription; additional seats are billed at the rates shown at checkout.
- Free trials, where offered, convert to a paid subscription or expire as described at sign-up. We may modify pricing on renewal with prior notice.
- Except where required by law, fees are non-refundable. Taxes are your responsibility unless stated otherwise.
4. Cancellation & termination
You may cancel at any time from Settings → Billing; access continues until the end of the paid period. We may suspend or terminate access for material breach, non-payment, or unlawful use. On termination you may export your data for a reasonable period as described in our documentation.
5. Acceptable use
You agree not to misuse the Service, including by attempting to breach security or access controls, reverse-engineer the Service, upload unlawful or infringing content, or use the Service to violate the rights of others or applicable law.
6. Customer data & ownership
You retain all rights to the data you submit (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and support the Service. Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Addendum.
7. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only as necessary to perform under these Terms.
8. Service availability
We strive for high availability but do not guarantee the Service will be uninterrupted or error-free except as set out in a separately agreed service-level agreement (SLA).
9. Disclaimers
The Service is provided “as is”. GoldArkIQ supports your compliance program but does not constitute legal, audit, or professional advice, and does not guarantee any regulatory outcome or certification. To the maximum extent permitted by law, we disclaim all implied warranties.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. Our aggregate liability arising out of these Terms will not exceed the fees you paid for the Service in the twelve months preceding the claim.
11. Governing law & disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Subject to the informal-resolution step below, you and TriMid Global submit to the exclusive jurisdiction of the state and federal courts located in the State of Texas for any dispute arising out of or relating to these Terms or the Service. Before commencing a formal claim, the parties will first attempt in good faith to resolve the matter by contacting info@trimidglobal.com.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app, and continued use after the effective date constitutes acceptance.
